Terms of Service

Last updated: October 18, 2026

Buzz Research Inc. ("Buzz Research," "we," "us" or "our") operates Vega, an AI personal trader you talk to over iMessage, SMS, WhatsApp and other messaging channels, together with the website at vega.cool and its subdomains, our waitlist, and related software, content, features and services (together, the "Services"). These Terms of Service (the "Terms") are a legally binding agreement between you and Buzz Research and govern your access to and use of the Services.

ARBITRATION NOTICE. These Terms contain a binding arbitration clause and a class action waiver in Section 22. If you are located in the United States or Canada, you agree that disputes between you and Buzz Research will be resolved by binding, individual arbitration, and you waive your right to a jury trial and to take part in any class or representative action. You can opt out of arbitration as described in Section 22.
RISK NOTICE. Vega can place trades in stocks, crypto assets, memecoins and leveraged perpetual futures for you. These products are extremely risky and you can lose all of the money you fund Vega with, quickly. Vega is software and it can make mistakes. Read Sections 7 and 13 before you use the Services.

1. Agreement to these Terms

By joining the waitlist, texting Vega, creating an account, funding a wallet, or otherwise accessing or using the Services, you (a) accept and agree to these Terms and (b) acknowledge our Privacy Policy, which explains how we handle your information and forms part of these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.

2. What Vega is, and what it is not

2.1 The Services. Vega is an AI personal trader. It is software, not a human trader, and it is not a licensed broker or adviser (see Section 2.2). You send it messages in plain language and it can, depending on the features available to you: answer questions about markets and your positions; send you price alerts, market updates and summaries; help you fund a wallet; prepare, place, modify and close orders for supported assets; set up recurring buys, stop losses and other automated instructions; and let you copy the trades of other traders or public figures ("Copytrading").

2.2 Not a broker, exchange, adviser or bank. Buzz Research is not a broker, dealer, futures commission merchant, exchange, clearing house, money transmitter, bank, custodian, investment adviser, commodity trading advisor or fiduciary. We are not a counterparty to your trades and we do not execute, clear or settle them. Orders Vega places for you are signed from your wallet and routed to third-party, decentralized or independently operated protocols, exchanges, liquidity sources and token issuers (each a "Venue"). The Venue, not Buzz Research, determines whether and how an order is executed, margined, liquidated and settled.

2.3 No advice. Vega's messages, alerts, summaries, analysis and any other content are provided for information only and are not investment, financial, trading, legal or tax advice, a recommendation, or an offer or solicitation to buy or sell anything. That remains true even when Vega phrases something conversationally, as an opinion, or as a joke. You alone decide whether a trade is right for you.

2.4 Tokenized and synthetic exposure. When Vega trades "stocks" or other traditional assets, it may do so through tokenized assets, perpetual futures or other on-chain instruments that track the price of the underlying asset. Unless we clearly say otherwise, you do not own the underlying share, security or commodity and you have no rights against its issuer, such as voting rights or dividends. The instrument's price may differ from the underlying asset's price, and it may trade when the underlying market is closed.

2.5 Options. Vega does not trade options.

3. Eligibility

3.1 Who may use the Services. You may use the Services only if you: (a) are at least 18 years old and the age of majority where you live; (b) can form a binding contract; (c) are not a Restricted Person; (d) are not located in, organized in or a resident of a Restricted Jurisdiction; and (e) are not otherwise barred from using the Services under applicable law.

3.2 Restricted Persons and Jurisdictions. A "Restricted Person" is anyone who is (or is owned or controlled by someone who is) the subject of sanctions or on a prohibited or restricted party list maintained by the United Nations, the United States (including the Specially Designated Nationals List), Canada, the United Kingdom, the European Union or any other applicable authority. A "Restricted Jurisdiction" is any country or territory subject to comprehensive sanctions, and any place where the Services, or particular features such as leveraged trading or tokenized stocks, are prohibited or require a license we do not hold. Some features will not be available everywhere, including in the United States. We may publish and update a list of restricted jurisdictions and features at any time.

3.3 No circumvention. You will not use a VPN, proxy, false location, false identity or any other method to get around eligibility or geographic restrictions.

3.4 Verification. We and our partners may ask you to verify your identity, age, location, eligibility or source of funds, and may screen you, your phone number, your wallet addresses and your transactions against sanctions lists and blockchain analytics tools. We may refuse, limit, suspend or end your access based on the results.

4. Messaging channels and text messages

4.1 How you talk to Vega. The Services are delivered mainly through third-party messaging channels such as Apple iMessage, SMS/MMS carriers and WhatsApp (each a "Channel"). Channels are not operated by us. Your use of a Channel is subject to its own terms and privacy practices, and messages may be delayed, dropped, filtered or delivered out of order. Vega may be unavailable if a Channel is down or restricts our access. Do not rely on text messages for time-critical actions.

4.2 Consent to receive messages. By giving us your phone number (including on the waitlist) or texting Vega, you agree that Buzz Research may send you text messages and messages through other Channels, including messages sent using automated technology, about the waitlist, your account, your trades, your positions, price alerts and market updates you ask for, and product news. Consent is not a condition of any purchase. Message frequency varies with how you use Vega. Message and data rates may apply.

4.3 Opting out. Reply STOP at any time to stop receiving text messages from us. You may receive one final message confirming your opt-out. Reply HELP for help, or email us at the address in Section 26. If you opt out, Vega cannot take instructions from you over that Channel and you may not be able to use the Services. Carriers are not liable for delayed or undelivered messages.

4.4 Your phone and your account. Anyone who can send messages from your phone number or messaging account may be able to instruct Vega. You are responsible for securing your phone, SIM, messaging accounts and any passcodes. Tell us right away if you lose your phone, change your number, or think someone else has access. You are responsible for all instructions sent from your number or account until you tell us otherwise and we have had a reasonable chance to act.

5. Your account

5.1 Account information. You agree to give us accurate, current and complete information and to keep it updated. You may not create an account for someone else, impersonate anyone, or hold more than one account without our permission.

5.2 Security features. We may ask you to confirm certain actions, such as withdrawals, large trades, changes to your phone number, or turning on autonomous features, using a passcode, a link, device authentication or another method. You agree not to share those credentials.

6. Your wallet and funds

6.1 Your wallet. When you fund Vega, a digital asset wallet is created for you using wallet infrastructure from Privy, a third-party provider ("Wallet Provider"). The wallet's private keys are generated and secured by the Wallet Provider's systems (for example secure enclaves and key sharding). Buzz Research does not see or store your full private key. Your assets are held in that wallet on public blockchains and are not deposited with Buzz Research or commingled with our funds.

6.2 How Vega signs for you. Through the Wallet Provider, you authorize Buzz Research, acting through Vega, to request signatures from your wallet to carry out your instructions (Section 7), including deposits to and withdrawals from Venues, swaps, orders, cancellations, withdrawals you ask for, and the payment of network, Venue and Service fees. Vega requests a signature only to carry out your instructions, your Automations, or actions needed to protect or close out your positions (for example cancelling orders when you close your account). You can revoke this authority at any time by telling Vega to stop trading, withdrawing your funds, or closing your account, subject to completing or unwinding transactions already in progress.

6.3 Reliance on the Wallet Provider. Your access to your wallet depends on the Wallet Provider's systems and on our integration with them. If the Wallet Provider has an outage, changes its service, or stops operating, you may be temporarily or permanently unable to move your assets. Where the Wallet Provider supports exporting your key or accessing your wallet directly, we will make reasonable efforts to let you do so. The Wallet Provider's own terms and privacy policy apply to its services.

6.4 Funding. You may be able to add funds with a debit or credit card or other payment methods through third-party payment and on-ramp providers such as MoonPay ("Payment Providers"), or by sending supported stablecoins to your wallet. Payment Providers are not Buzz Research. They process your payment under their own terms, fees, limits and identity checks, and we do not receive or store your full card details. Card purchases may be treated as cash advances by your card issuer.

6.5 Stablecoins and networks. Balances are typically held as USDC or other stablecoins issued by third parties. We do not issue, control or guarantee any stablecoin, its reserves, its redemption or its peg, and an issuer may freeze stablecoins. Sending unsupported assets, or sending assets on the wrong network, may result in permanent loss. Blockchain transactions are generally irreversible.

6.6 Withdrawals. You can ask Vega to withdraw your funds to a wallet address or, where available, to a bank account or card through a Payment Provider. Vega will request the signature from your wallet to send them. We may ask you to confirm a withdrawal (for example with a link or code) before Vega signs it. Withdrawals may be delayed or limited by network conditions, Venue rules, Payment Provider requirements, security reviews, the Wallet Provider, or legal obligations. We will not withhold your funds except where required by law or to complete transactions already in progress.

7. Trading with Vega

7.1 Instructions. You give Vega instructions in natural language, for example "buy 5 shares of Apple," "long BTC 10x," or "sell half my NVDA." Vega interprets your message, works out the asset, side, size, price, leverage and Venue, and acts on it. You are responsible for every instruction you send, including typos, slang, autocorrect errors and ambiguous messages.

7.2 Interpretation and confirmations. Vega is powered by AI models and may misunderstand you, pick a different asset than you meant (for example where tickers or names are similar), round sizes, or apply defaults you did not specify. Vega may ask you to confirm an order before it places it, and may skip confirmation for instructions it judges to be clear or that you have told it not to confirm. If Vega shows or sends you an order summary or confirmation, it is your responsibility to check it. If you think Vega got something wrong, tell it immediately. We are not liable for losses from an order that matches what Vega reasonably understood your instruction to be.

7.3 Standing and automated instructions. You may set up instructions that run later or repeatedly, such as recurring buys, limit orders, stop losses, take-profits, alerts that trigger trades, or Copytrading (together, "Automations"). Automations run until they complete, you cancel them, or we stop them. They may trigger at worse prices than you expect, may not trigger at all, and may keep running if you forget about them. You can ask Vega to list and cancel your Automations at any time.

7.4 Execution. Prices, sizes, fees, leverage, liquidation prices and profit and loss figures Vega shows you are estimates. Orders may be partly filled, filled at a different price (slippage), delayed, rejected or not executed. Vega may split, route or time orders as it sees fit to carry out your instruction. Markets for memecoins and other small assets can be extremely thin, and a single order can move the price.

7.5 Leverage and liquidation. Leverage multiplies gains and losses. If a leveraged position moves against you, the Venue may liquidate part or all of it without notice and you may lose all of the margin committed to it. Maximum leverage, margin requirements, funding rates and liquidation rules are set by the Venue and may change at any time. We may set lower limits than a Venue allows.

7.6 Limits and refusals. We may limit, delay, refuse or reverse (where technically possible) any instruction, and may add, remove or restrict any asset, Venue, leverage level, order type or feature at any time, including for risk, legal or security reasons, or because we believe an instruction is a mistake, fraudulent, or not really from you.

7.7 Records. Your positions and history are recorded on public blockchains and Venues. Vega's summaries of your balances, positions and history are a convenience and may lag or be wrong. The on-chain record controls.

8. Copytrading

Copytrading lets you mirror the trades of another trader, wallet, influencer or public figure (a "Source"). Sources are not our employees or agents and are not giving you advice. We do not verify their identity, track record, motives or conflicts of interest, and a Source may trade against the people copying them. Copied trades are placed after the Source's trade, often at worse prices, and may be scaled, skipped or cut short because of your balance, limits, Venue availability or our risk controls. Past results of a Source are not a guide to future results. You are responsible for choosing whom to copy and for stopping when you want to.

9. Alerts, updates and market information

Vega may text you price alerts, market news and updates you ask for or that we think you would want. Alerts may be late, wrong, or not sent at all, and market data comes from third parties that we do not control. Do not rely on Vega's alerts as your only source of information about your positions.

10. Fees

We may charge fees for the Services, such as a per-trade fee, a spread, a percentage of trade size, a subscription, or a fee on Copytrading. We will tell you about our fees before you are charged them, and fees may be deducted automatically from your wallet when a transaction is made. You also pay any network (gas) fees, Venue fees, funding payments and Payment Provider fees. Fees are non-refundable except where the law requires otherwise. We may change our fees with notice.

11. The waitlist

Joining the waitlist does not create an account, move money or place trades, and does not guarantee that you will get access or when. We may invite people from the waitlist in any order and may close the waitlist at any time.

12. Taxes

You are solely responsible for determining, reporting and paying any taxes that apply to your transactions. Vega's records may not be sufficient for tax purposes.

13. Risks

By using the Services you understand and accept the following risks, among others. They can cause you to lose some or all of your money.

14. Acceptable use

You will not, and will not help anyone else to: (a) break any law, including sanctions, anti-money-laundering, securities, commodities, consumer protection and anti-spam laws; (b) use the Services from a Restricted Jurisdiction or as a Restricted Person; (c) manipulate markets, wash trade, spoof, pump and dump, front-run, or trade on inside information; (d) use proceeds of crime or fund illegal activity; (e) try to trick, jailbreak or prompt-inject Vega into acting outside its permissions, revealing other users' information, or ignoring its limits; (f) use bots or automated scripts to message Vega except through interfaces we provide; (g) reverse engineer, overload, interfere with or attack the Services; (h) create multiple accounts to abuse promotions or evade limits; (i) impersonate anyone; or (j) send Vega content that is unlawful, harassing, or infringes anyone's rights.

15. Third-party services

The Services rely on and link to third parties, including Channels, Venues, wallet providers, Payment Providers, AI model providers, data providers and token issuers. We do not control them and are not responsible for their services, content, availability, security or actions. Your dealings with them are solely between you and them.

16. Intellectual property and feedback

The Services, including the Vega name, logo, software, prompts, designs and content, belong to Buzz Research and its licensors. We grant you a limited, personal, revocable, non-transferable license to use the Services for your own non-commercial purposes in line with these Terms. You keep ownership of the messages you send, and you grant us a worldwide, royalty-free license to use them to provide, secure and improve the Services as described in our Privacy Policy. If you send us ideas or feedback, we may use them without any obligation to you.

17. Suspension and termination

You may stop using the Services at any time. We may suspend, restrict or terminate your access to all or part of the Services, cancel your Automations, or decline to process instructions, at any time and for any reason, with or without notice, including to comply with the law, to manage risk, or if we suspect a breach of these Terms. Where we end your access we will, unless prohibited by law, give you a reasonable way to withdraw any funds in your wallet. Sections that by their nature should survive termination will survive.

18. Changes to the Services and these Terms

We may change, add or remove features at any time. We may update these Terms by posting a new version with a new "Last updated" date. If a change is material we will make reasonable efforts to tell you, for example by text message. Continuing to use the Services after the update means you accept it.

19. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BUZZ RESEARCH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES OR VEGA'S OUTPUTS WILL BE ACCURATE, TIMELY, SECURE, UNINTERRUPTED OR ERROR-FREE, OR THAT ANY TRADE WILL BE PROFITABLE.

20. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) BUZZ RESEARCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOSS OF DIGITAL ASSETS, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF WE WERE ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND US$100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITS, SO THEY MAY NOT ALL APPLY TO YOU.

21. Indemnity

You will defend, indemnify and hold harmless Buzz Research and its affiliates, officers, employees and agents from any claims, losses, liabilities, damages and expenses (including reasonable legal fees) arising from your use of the Services, your instructions and Automations, your breach of these Terms, or your violation of any law or anyone else's rights.

22. Dispute resolution

22.1 Talk to us first. Before filing a claim, you agree to email us at the address in Section 26 and try to resolve the dispute informally for at least 60 days.

22.2 Binding arbitration. If you are located in the United States or Canada, any dispute, claim or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, before a single arbitrator, seated in Wilmington, Delaware (or held remotely by video), in English. The Federal Arbitration Act governs this Section. The arbitrator decides questions of arbitrability. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property.

22.3 Class action waiver. Disputes will be resolved only on an individual basis. You and Buzz Research waive any right to bring or take part in a class, collective, consolidated or representative action or arbitration.

22.4 Opt-out. You can opt out of this arbitration agreement by emailing us within 30 days after you first accept these Terms, with the subject line "Arbitration Opt-Out" and your name and phone number.

22.5 Time limit. To the extent permitted by law, any Dispute must be brought within one year after it arises.

23. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, except that the Federal Arbitration Act governs Section 22. Subject to Section 22, the state and federal courts located in Delaware have exclusive jurisdiction, and you and Buzz Research consent to their personal jurisdiction. If you are a consumer in a place whose laws give you rights that cannot be waived by contract, nothing in these Terms limits those rights.

24. General

These Terms, together with the Privacy Policy and any feature-specific terms we show you, are the entire agreement between you and us about the Services. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them, for example in a merger or acquisition. We are not liable for delays or failures caused by events beyond our reasonable control. Electronic notices and agreements satisfy any requirement that they be in writing.

25. Messaging program details
